1. Introduction

These Terms and Conditions ("Terms") govern your use of the CA PAY Global mobile application and related services ("Service") operated by CA PAY Global Limited ("Company", "we", "us", or "our"). By creating an account or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Account Eligibility

2.1. You must be at least eighteen (18) years of age to create an account and use the Service.

2.2. You must provide a valid email address during registration. This email will be used for account verification, transaction notifications, and security alerts.

2.3. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account.

2.4. You may not create multiple accounts, impersonate another person, or use a false identity when registering.

2.5. We reserve the right to suspend or terminate accounts that violate these eligibility requirements.

3. Know Your Customer (KYC) & Anti-Money Laundering (AML)

3.1. In compliance with applicable financial regulations, you may be required to complete identity verification (KYC) before accessing certain features of the Service.

3.2. KYC verification may include, but is not limited to: government-issued photo identification, proof of address, selfie verification, and source of funds documentation.

3.3. We are obligated to monitor transactions for suspicious activity in accordance with anti-money laundering (AML) laws and regulations. We may freeze, restrict, or report accounts and transactions as required by law.

3.4. You agree to provide accurate, current, and complete information during the KYC process and to update this information as needed.

3.5. Failure to complete required KYC verification may result in restricted access to certain features, transaction limits, or account suspension.

4. Transaction Limits & Fees

4.1. Transaction limits may apply based on your account verification level, jurisdiction, and applicable regulations. Current limits are displayed within the application.

4.2. Fees for transactions, currency conversions, deposits, withdrawals, and other services are disclosed prior to each transaction and within our fee schedule available in the application.

4.3. We reserve the right to modify fees and limits with reasonable notice. Changes will be communicated through the application or via email.

4.4. Exchange rates are provided in real-time and may fluctuate. The rate applied to your transaction is the rate confirmed at the time of execution.

4.5. You are responsible for any taxes, duties, or other governmental charges applicable to your use of the Service.

5. Virtual Card Terms

5.1. Virtual cards issued through the Service are subject to these Terms as well as any additional terms from our card-issuing partners.

5.2. Virtual cards may be used for online purchases at merchants that accept the applicable card network (Visa, Mastercard).

5.3. You agree not to use virtual cards for prohibited transactions, including but not limited to: illegal purchases, gambling (where prohibited), or transactions that violate the policies of our card-issuing partners.

5.4. We may suspend or cancel your virtual card at any time if we detect fraudulent, unauthorized, or prohibited activity.

5.5. Card funding, spending limits, and supported currencies are subject to change and are displayed within the application.

6. Cryptocurrency Trading

6.1. RISK DISCLAIMER: Cryptocurrency trading involves substantial risk of loss. The value of cryptocurrencies is highly volatile and can fluctuate significantly in short periods. You should only trade with funds you can afford to lose.

6.2. Past performance of any cryptocurrency is not indicative of future results. We do not provide investment advice, and nothing on the Service should be construed as such.

6.3. You are solely responsible for your trading decisions. We are not liable for any losses incurred from cryptocurrency trading conducted through the Service.

6.4. Cryptocurrency transactions are generally irreversible. You are responsible for ensuring the accuracy of wallet addresses and transaction details before confirming.

6.5. Regulatory requirements for cryptocurrency vary by jurisdiction. It is your responsibility to comply with applicable laws in your country or region.

7. Peer-to-Peer (P2P) Trading & Escrow

7.1. Our P2P trading platform facilitates direct transactions between users. We act as an intermediary through our escrow service to protect both parties.

7.2. When a P2P trade is initiated, the seller's cryptocurrency is held in escrow until the buyer confirms payment and the trade is completed.

7.3. Both buyers and sellers must act in good faith, provide accurate information, and complete their obligations in a timely manner.

7.4. In the event of a dispute, we will review evidence provided by both parties and make a determination based on the information available. Our dispute resolution decisions are final.

7.5. Users who repeatedly engage in fraudulent behavior, fail to complete trades, or manipulate trading conditions may have their P2P trading privileges revoked.

8. Privacy & Data Protection

8.1. We collect, process, and store personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

8.2. Personal data collected includes, but is not limited to: name, email address, identification documents, transaction history, device information, and usage data.

8.3. Your data is processed for the following purposes: account management, transaction processing, regulatory compliance (KYC/AML), fraud prevention, customer support, and service improvement.

8.4. We implement appropriate technical and organizational measures to protect your personal data against unauthorized access, alteration, disclosure, or destruction.

8.5. You have the right to: access your personal data, request correction of inaccurate data, request deletion of your data (subject to legal retention requirements), restrict processing, data portability, and object to processing.

8.6. We do not sell your personal data to third parties. Data may be shared with: regulatory authorities (as required by law), identity verification providers, payment processing partners, and service providers operating under data processing agreements.

9. Intellectual Property

9.1. The Service, including its design, logos, trademarks, software, content, and all related intellectual property, is owned by or licensed to CA PAY Global Limited.

9.2. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

9.3. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works from any part of the Service without our prior written consent.

9.4. All user-generated content submitted through the Service remains your property, but you grant us a non-exclusive license to use such content for the purposes of providing and improving the Service.

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

10.2. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

10.3. IN NO EVENT SHALL CA PAY GLOBAL LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

10.4. Our total liability to you for any claims arising from or related to the Service shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

10.5. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the extent permitted by law.

11. Prohibited Activities

11.1. You agree not to use the Service for any unlawful purpose or in violation of these Terms.

11.2. Prohibited activities include, but are not limited to: (a) Money laundering, terrorist financing, or other financial crimes; (b) Fraud, identity theft, or impersonation; (c) Circumventing transaction limits or KYC requirements; (d) Interfering with the operation of the Service or other users' access; (e) Using automated systems (bots, scrapers) to access the Service without authorization; (f) Violating sanctions or export control regulations.

12. Account Suspension & Termination

12.1. We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law or regulation.

12.2. You may close your account at any time by contacting customer support. Account closure is subject to completion of pending transactions and any outstanding obligations.

12.3. Upon termination, your right to use the Service ceases immediately. Any funds remaining in your account will be returned to you, subject to applicable holds and regulatory requirements.

13. Governing Law & Dispute Resolution

13.1. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CA PAY Global Limited is incorporated.

13.2. Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.

13.3. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the applicable arbitration rules of the jurisdiction.

13.4. Nothing in these Terms prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.

14. Changes to These Terms

14.1. We reserve the right to modify these Terms at any time. Material changes will be communicated through the application or via email at least thirty (30) days before taking effect.

14.2. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

14.3. If you do not agree to the updated Terms, you must discontinue use of the Service and close your account.
